Terms of Service

By accessing or using Social UGC you confirm that you are at least 18 years old (or the age of majority in your jurisdiction), have the legal authority to enter into these Terms, and agree to comply with them. If you are using the Service on behalf of an organization you represent that you have the authority to bind that organization to these Terms.

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

Social UGC grants you a limited, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes in accordance with these Terms and any plan limits that apply to your subscription.

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized access to your account. We are not liable for losses caused by unauthorized use of your credentials.

Your use of the Service is also subject to any usage limits associated with your subscription plan (post volume, platform connections, team members). Exceeding plan limits may result in feature restrictions until the next billing cycle or an upgrade prompt.

You must provide accurate and complete information when registering. You may not create an account on behalf of another person without their consent, or use a false identity.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or present a security risk to other users or the platform.

The first user registered in a new instance is automatically assigned the super_admin role. Organizations and their members are bound by these Terms collectively.

Your content. You retain full ownership of all content you create, upload, or publish through Social UGC. By using the Service you grant us a limited, worldwide, royalty-free license to process, store, and transmit your content solely as necessary to provide the Service.

AI-generated content. Content generated by AI models through the Service is delivered to you as the output of your instructions. You are responsible for reviewing AI-generated content before publishing and for ensuring it complies with applicable laws and the policies of the destination platforms.

Platform policies. Publishing content to third-party platforms (Twitter/X, LinkedIn, Instagram, etc.) is governed by those platforms’ own terms. You are solely responsible for compliance with each platform’s content policies.

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Generate, store, or publish content that is defamatory, obscene, hateful, or incites violence.
• Produce spam, unsolicited marketing, or artificially inflate engagement metrics.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Use automated scripts to scrape or excessively load the Service beyond intended API usage.
• Circumvent any security, rate-limiting, or access-control mechanism.
• Impersonate another person, organization, or brand without authorization.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.

We reserve the right to remove content and suspend or terminate accounts that engage in prohibited uses without prior notice.

Paid plans are billed in advance on a monthly or annual basis. Subscription fees are non-refundable except where required by applicable law. Downgrading or cancelling a plan takes effect at the end of the current billing period.

Payment is processed by Stripe. By subscribing you authorize us to charge your payment method on the recurring schedule you select. Failure to pay may result in suspension of your account.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. AI-generated content may contain inaccuracies; you are responsible for verifying content before publishing.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SOCIAL UGC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

These Terms are governed by the laws of the jurisdiction in which Social UGC is incorporated, without regard to conflict-of-law principles. Any disputes shall be resolved by binding arbitration or in the courts of that jurisdiction.
